German Speaknig Executive Paralegal

We are looking for an individual who will enjoy the challenge of buildingthe company's operations while reporting directly to the Chief U.S. Legal Officer and Corporate Secretary.

Essential Duties and Responsibilities:

• Applicant must have significant experience in performing general corporate paralegal responsibilities, including forming and dissolving corporations, partnerships and limited liability companies; preparing acquisition, merger and consolidation paperwork; drafting resolutions and basic articles of incorporation, by-laws and stock certificates; and maintaining corporate minute books and subsidiary databases. 
• Assisting in the preparation of materials for the Board of Directors (such as resolutions, meeting agendas, researching and preparing memos) and filings with any state or federal regulatory agency,
• Preparing and tracking documents for merger and acquisition transactions and assisting with transaction closings. 
• Be able to assist in the preparation and review of basic nondisclosure agreements, form contracts and contract schedules in connection with  procurement of goods and services. 

Job Requirements

• This executive paralegal position reports directly to the Chief U.S. Legal Officer and Corporate Secretary
• German and English proficiency.
• At least 5-7 years of corporate paralegal experience with a law firm or in-house.
• Must be detail oriented, self-motivated and capable of working independently with minimal attorney oversight. 
• Must be professional and work well with attorneys and business personnel throughout the corporation, including top level executives. 
• Confidentiality is critical to the position. 
• Basic computer skills (Word, Excel and PowerPoint) and experience with database maintenance are necessary.
